FRONTIER METALS INC.

Terms of Purchase

Last Updated: October 6, 2026

These Terms of Purchase apply to materials offered or sold to Frontier Metals Inc. (“Frontier Metals”). By delivering, shipping, offering or selling material to Frontier Metals, the seller (“Seller”) agrees to the following terms.

1. Ownership and Authority to Sell

Seller represents and warrants that:

  • Seller is the lawful owner of the material or is legally authorized to sell it;
  • The material has been lawfully obtained;
  • The material is free of undisclosed liens, claims or encumbrances; and
  • The sale does not violate applicable federal, state or local law.

Frontier Metals reserves the right to refuse any material where ownership, identity or lawful possession cannot reasonably be verified.

2. Identification and Recordkeeping

Seller agrees to provide valid identification and transaction information required by applicable law.

Frontier Metals may copy, record and retain identification, transaction, material and seller information as required by applicable law and may provide such information to law-enforcement or government authorities when legally required or permitted.

3. Inspection, Weight and Grading

All materials are subject to inspection, weighing, grading and classification by Frontier Metals.

Unless otherwise agreed in writing, the final purchase price may be based upon the actual weight, grade, composition, condition and recoverable value of the material as determined following inspection.

Quotes provided before inspection may be estimates based upon information supplied by Seller and may be adjusted if the material differs from its description, photographs, estimated weight, grade or composition.

4. Pricing and Quotes

Scrap-metal prices fluctuate based upon commodity markets, material grade, quantity, condition, and other factors.

Unless expressly stated otherwise, a quote does not guarantee a purchase price indefinitely. Frontier Metals reserves the right to revise or withdraw a quote prior to completion of a transaction where market conditions or the actual material received differ from the information upon which the quote was based.

5. Rejected or Prohibited Material

Frontier Metals may refuse or reject material that:

  • Does not conform to the description or agreed specifications;
  • Cannot be lawfully purchased;
  • Is suspected to be stolen or unlawfully obtained;
  • Contains prohibited, hazardous, radioactive or contaminated substances;
  • Creates a health, safety or environmental risk; or
  • Otherwise does not meet Frontier Metals’ purchasing requirements.

Seller remains responsible for material rejected because of contamination, prohibited substances, misrepresentation or unlawful origin and for reasonable costs associated with its handling, return or lawful disposal where applicable.

6. Hazardous and Radioactive Materials

Seller represents that materials offered to Frontier Metals do not contain undisclosed hazardous substances, radioactive materials or other dangerous contaminants except where expressly disclosed and accepted by Frontier Metals in advance.

Seller is responsible for complying with applicable environmental, transportation and safety requirements.

7. Catalytic Converters and Regulated Materials

Additional identification, ownership documentation, vehicle information or other records may be required for catalytic converters and other regulated materials.

Frontier Metals may refuse any transaction where documentation required by law or company policy cannot be provided.

8. Electronic Communications

Seller agrees that quotes, purchase information, confirmations and other transaction-related communications may be transmitted electronically, including by email or SMS where appropriate.

SMS communications remain subject to the SMS provisions contained in our Privacy Policy and applicable consent requirements.

9. Compliance With Law

All transactions are subject to applicable federal, State of New Jersey and local laws and regulations.

Frontier Metals may refuse, suspend or report a transaction when reasonably necessary to comply with law or respond to suspected theft, fraud or unlawful activity.

10. Governing Law

Unless otherwise agreed in writing, these Terms and transactions with Frontier Metals shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

11. Changes to These Terms

Frontier Metals may update these Terms of Purchase periodically. The version in effect at the time of the applicable transaction will govern unless otherwise agreed in writing.
